Pre-money valuation calculator

Pre-money valuation is what the company is agreed to be worth just before the new money goes in. From an offer: investment ÷ share sold − investment.

The formula

Pre-money valuation = investment ÷ share sold − investment

Worked example: £800,000

The example uses the guide's seed round, £200,000 for 20%, with a matching cap table, exit, fund and market.

  1. £200,000 ÷ 20% = £1,000,000 post-money
  2. £1,000,000 − £200,000 invested = £800,000

Try it with your numbers

Work out your pre-money valuation

Until you type a figure, the results show an example business. Fill in only what you know: from then on every result uses your figures alone, and nothing you type leaves your browser.

Your deal numbers

Start with any one figure. Until you do, the results show the example business, whose figures are the grey hints in each box.

How to read your result

Two offers for the same amount but different shares imply different pre-money valuations. Compare them here before you negotiate.

Watch out for

If the term sheet tops up the option pool inside the pre-money, existing shareholders get less than the headline figure: see the option pool calculator.
